Government fees to deregister a Hong Kong private company total HK$690 (IRD HK$270, Companies Registry HK$420). The seven conditions, the process, and why the bank balance must be dealt with first.

Short answer: An eligible Hong Kong private company can be closed by deregistration, with government fees of HK$690: the IRD fee for a Notice of No Objection (HK$270, Form IR1263) plus the Companies Registry deregistration fee (HK$420, Form NDR1). Companies that do not qualify usually have to be wound up, which costs far more.

Seven conditions (all must be met)

  1. All members agree to the deregistration;
  2. The company never started business, or has not operated or carried on business in the 3 months before applying;
  3. It has no outstanding liabilities;
  4. It is not a party to any legal proceedings;
  5. Its assets do not include immovable property in Hong Kong;
  6. If it is a holding company, its subsidiaries’ assets do not include immovable property in Hong Kong;
  7. It has obtained the IRD’s Notice of No Objection.

Fees

Item Amount
IRD Notice of No Objection (IR1263) HK$270
Companies Registry deregistration (NDR1) HK$420
Total government fees HK$690
Late annual returns (if any) Extra, depending on the delay

Both fees are non-refundable. If the IRD asks for outstanding tax returns or accounts, the bookkeeping and audit cost is extra.

Deal with the bank balance first

Once deregistered, the company is dissolved and any property still held by it, including bank balances, vests in the Government. Distribute or settle the balance properly and close the bank account before applying.
